CLAUSE 8(a) — TERM
Each Party agrees to maintain the confidentiality of all Confidential Information disclosed by the other Party for a period of ten (10) years from the date of disclosure, including but not limited to unrestricted derivative works arising therefrom.
CLAUSE 11 — DISCLOSURE LIABILITY
The Receiving Party shall not be liable for any inadvertent disclosure resulting from third-party subpoena, court order, or legally required production, provided that the Receiving Party gives notice to the Disclosing Party within twenty-four (24) hours of receipt.
CLAUSE 14 — GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
